What is an Accredited Investor?
Accredited Investor as defined in Rule 501(a) includes:
Natural persons whose individual net worth, or joint net worth with a spouse, at the time of the purchase exceeds $1,000,000 (excluding a person’s primary home)
Natural persons with an individual income in excess of $200,000 in each of the two most recent years or joint income with a spouse in excess of $300,000 in each of those years and who has a reasonable expectation of reaching the same income level in the current year
A corporation, limited liability company, business trust or partnership not formed for the specific purpose of acquiring the Shares offered by the Company, with total assets in excess of $5,000,000
An entity in which all of the equity owners are accredited investors
